Unicorn Club membership terms

These terms govern membership of Unicorn Club. They are short on purpose. Read them before you join, because by starting a membership you accept them.

1. Who we are

Unicorn Club is operated by Unicorn Private LLC, a limited liability company incorporated in Delaware, United States, with its registered office in Lewes, Delaware. In these terms, "we" and "us" mean Unicorn Private LLC, and "you" means the member, whether an individual or a company.

2. What membership is

Membership of Unicorn Club is a subscription to a private circle of investors. It is not a fund, not a collective investment scheme, not a managed account and not an advisory mandate. We do not hold, pool or manage your money at any time, and membership gives you no interest in any asset.

3. What a member receives

As a member you receive, from time to time, the research produced by Unicorn Private Research, including analyses of private companies, and invitations to take part in club deals alongside other members and alongside Unicorn Private LLC.

We publish and invite when we have something worth sending. We do not commit to a frequency, to a minimum number of analyses, to a minimum number of club deals, or to covering any particular company. A period in which nothing is sent is not a breach of these terms.

4. Club deals

A club deal is a separate transaction. It is documented on its own terms, priced individually, and subject to its own subscription documents, which set out the investment, the risks, the costs and the conditions. You are never obliged to participate. We are never obliged to accept a participation, and we may close, reduce or withdraw an allocation at any time before it is documented.

Membership does not entitle you to an allocation in any transaction, and it does not give you priority over any other member.

5. Eligibility

Membership is open only to persons who qualify as professional, qualified, accredited or equivalent investors under the law of their own jurisdiction. You declare your status when you join, and you confirm that the declaration is accurate. You must tell us if it ceases to be accurate.

You are responsible for checking that membership and any participation in a club deal are lawful for you where you live and where you are tax resident. We may decline or end a membership if we believe it is not.

6. Fees and billing

Individual membership costs 1,000 United States dollars a month. Corporate membership costs 3,000 United States dollars a month and may be held by a company covering up to five named individuals.

Payment is taken by card through Stripe, our payment processor. We do not see or store your card details. Billing recurs monthly on the date you joined and continues until the membership is cancelled. Prices are exclusive of any tax that applies where you are established, which is added where required.

7. Cancellation

You may cancel at any time, through the link in any Stripe receipt or by writing to us. Cancellation stops future billing and ends access at the end of the period already paid for. We do not refund part of a period. Cancellation has no effect on any club deal you have already entered into, which continues to be governed by the documents signed for that transaction.

8. No advice and no offer

Nothing we send you is investment, legal, tax or accounting advice, and nothing is a personal recommendation. We do not assess whether an investment is suitable or appropriate for you. Membership itself is not an offer of securities, and this page is not an offering document.

9. Risk

Investments in private companies are illiquid, may be impossible to sell for years or at all, and may lose their entire value. Past performance of any company, index or transaction is not a guide to future results. Any figure we publish is stated as at its date and taken from the public source cited beside it.

10. Use of our research

The analyses and other material we send you are for your own use. You may not republish, resell or distribute them outside your organisation. A corporate membership covers the named individuals registered under it and no one else. We may end a membership that shares material beyond these limits.

11. Confidentiality

Information about a club deal, including the company, the price and the terms, is confidential and is shared with you on that basis. Keep it confidential unless it is already public or we agree otherwise in writing.

12. Your data

We collect the data you give us when you join and while you are a member, and we use it to run the membership, to send you the material described above, and to meet our legal obligations. We do not sell it. Payment data is handled by Stripe under its own terms. Write to us to ask what we hold, to correct it, or to have it deleted where the law allows.

13. Liability

We provide the research and the invitations in good faith, from sources we believe to be reliable, but we do not warrant that they are complete or free of error, and market information changes after publication. To the extent the law allows, we are not liable for any loss arising from an investment decision you take, and our total liability to you is limited to the membership fees you paid in the twelve months before the claim. Nothing here excludes liability that cannot lawfully be excluded, including for fraud.

14. Changes

We may change these terms or the membership fee. We will tell you by email at least thirty days before a change takes effect, and you may cancel before it does. Continuing the membership after that date means you accept the change.

15. Ending a membership

We may end a membership immediately if the fee is not paid, if the eligibility declaration is or becomes untrue, if these terms are breached, or if the law requires it. Where we end a membership for a reason that is not your fault, we refund the unused part of the period already paid.

16. Governing law

These terms are governed by the law of the State of Delaware, United States, and the courts of that State have exclusive jurisdiction, without prejudice to any right you have under the mandatory consumer or investor protection law of your own country.
