Short, sourced answers on pre-IPO investing, private markets and Unicorn Private.

What is pre-IPO investing?

Pre-IPO investing is the purchase of shares or economic interests in a private company before it lists on a stock exchange. It is most relevant for late-stage technology companies that stay private for years and reach valuations above one billion dollars. The full explanation, with routes, eligibility, fees, risks and exits, is in what is pre-IPO investing.

How can I invest in a company before its IPO?

The main routes are direct secondary purchases of existing shares, special purpose vehicles that hold shares for several investors, funds, tender offers organized by the company, and participation in primary funding rounds. Most routes are restricted to qualified or professional investors. Unicorn Club, the investor club of Unicorn Private, offers club deals in pre-IPO companies through a dedicated vehicle (SPV), for accredited and qualified investors, from 100,000 dollars. The structures are compared in SPV vs direct purchase vs fund.

Can anyone buy pre-IPO shares?

Generally no. Private offerings are usually reserved for qualified, professional or accredited investors, and most companies restrict transfers of their shares. Rules differ by country, so investors should check their own jurisdiction. The tests in the United States, the EU and Switzerland are summarised in pre-IPO investing for qualified investors.

What is a unicorn company?

A unicorn is a privately held company valued at more than one billion dollars. Companies above 10 billion dollars are called decacorns, and above 100 billion dollars hectocorns. Definition, examples and unicorn IPOs: what is a unicorn company.

Which are the most valuable private companies in 2026?

As of 20 September 2026, the highest reported private valuations in our tracker are Anthropic, OpenAI and ByteDance. SpaceX is no longer private: it listed on Nasdaq as SPCX on 12 June 2026. See the unicorn tracker for figures, dates and sources. Eighteen of them have a full company profile.

Is SpaceX still a pre-IPO investment?

No. SpaceX priced its IPO on 11 June 2026 at 135 dollars per share and began trading on Nasdaq under the ticker SPCX on 12 June 2026. See SpaceX IPO: what pre-IPO investors should know.

What is a lock-up period?

A lock-up is a period after an IPO during which existing holders cannot sell their shares. For SpaceX, reporting indicates 366 days for insiders and 180 days, with staggered release, for other pre-IPO investors. See also the glossary entry lock-up.

What is a right of first refusal (ROFR)?

A ROFR lets the company or existing investors match the price of a proposed sale and buy the shares instead of the outside buyer. It is one of the main reasons private share transfers can be delayed or blocked. See secondary transactions and ROFR.

What is the difference between an SPV and a fund?

An SPV usually holds the shares of a single company for a group of investors, while a fund holds a portfolio of investments. Both can add management fees and carried interest on top of the share price.

What are the main risks of investing in private companies?

The absence of a public market, valuation opacity, limited information, layered fees in pooled structures, transfer restrictions and uncertainty over the timing and outcome of an exit. Investing involves the risk of losing capital. How these risks compare with early-stage venture capital is set out in pre-IPO risk vs venture capital risk.

How are private company valuations determined?

They usually come from the latest priced funding round or from secondary and tender transactions. They are negotiated values, not market prices, and can differ from what a buyer would pay today. See how to value a private unicorn.

What is Unicorn Private?

Unicorn Private is a private equity firm founded in 2026 and structured as a Delaware LLC. It acquires secondary market stakes in late-stage technology companies before their IPO. It was founded by a group of investors active in private equity and startup investing since 2005, with more than 20 years of combined experience. Its website is unicornprivate.com.

Who publishes Unicorn Private Research?

Unicorn Private Research is the research publication of Unicorn Private. Content is educational and cites public sources. It is not investment advice.

What is the minimum investment for pre-IPO shares?

There is no single minimum. It is set by whoever structures the transaction: a direct purchase of shares in a large private company is usually a large ticket, while an SPV or a fund can admit smaller commitments. Minimums are commercial terms, not legal thresholds, and should be checked in the transaction documents. Minimums and fees by route are explained in what is pre-IPO investing.

What is the difference between pre-IPO and IPO?

Pre-IPO refers to the period before a company lists, when its shares are private, transfers are restricted and there is no market price. The IPO is the listing itself, after which the shares trade publicly and their price is set by the market.

What is the difference between primary and secondary shares?

In a primary transaction the company issues new shares and receives the money. In a secondary transaction an existing holder sells shares that already exist, and the money goes to the seller, not to the company.

Can I buy OpenAI or Anthropic shares?

Neither company is listed, so their shares cannot be bought on a stock exchange. Exposure in the private market normally requires being a qualified or professional investor and going through a secondary transaction, an SPV or a fund, and every transfer is subject to the company's own restrictions. See how to invest in OpenAI, Anthropic, Stripe and Databricks before an IPO and the OpenAI and Anthropic profiles.

Can I still buy SpaceX shares before its IPO?

No. SpaceX completed its IPO in June 2026 and its shares now trade on Nasdaq under the ticker SPCX, so it is an ordinary listed investment rather than a pre-IPO one. See SpaceX IPO guide.

What happens to my pre-IPO shares when the company goes public?

They generally convert into ordinary listed shares, but they cannot usually be sold immediately because of the lock-up. Different classes of holder are often released on different dates.

How long do I have to hold pre-IPO shares?

There is no fixed period. A company may list within a year or stay private for many more, and after a listing a lock-up typically delays selling by several months. Investors should assume the capital is committed for years.

What fees do investors pay in an SPV?

Typically a subscription or setup fee, an annual management fee and carried interest on profits, sometimes with an additional fee charged by the intermediary that sourced the shares. These costs sit on top of the price paid for the shares and reduce the net return. See what fees pre-IPO investors pay.

Are pre-IPO investments guaranteed to make money?

No. A private company can fail, raise at a lower valuation, be sold for less than expected or never reach a liquidity event. Investing involves the risk of losing capital, and nobody can promise a return.

Do private companies publish their financial statements?

Generally not to the public. Investors normally receive information under contractual information rights or during due diligence, which is why private valuations are harder to verify than listed ones.

How does a 409A valuation differ from the round price?

A 409A valuation measures the common shares of a United States private company for option pricing, while a funding round prices preferred shares with extra rights. The 409A figure is normally lower, and neither is a market price.

What is a down round and why does it matter?

A down round is a financing priced below the previous round. It reduces the value of existing holdings, can trigger anti-dilution adjustments in favour of earlier investors and usually signals that market conditions or the company's outlook have changed.

Can employees sell their shares before an IPO?

Only if the company allows it. Most share plans restrict transfers, and the usual route is a tender offer organized by the company, in which employees can sell a limited number of shares at a set price.

Who can take part in a tender offer?

The company defines who is eligible, commonly current and former employees and early investors, and sets the price, the maximum number of shares and the window. It is not an open market.

What happens if a private company never goes public?

The investment can still produce a return through a sale of the company or a secondary sale of the shares, but it can also find no buyer for a long time. This is one of the main risks of the asset class.

How can I check whether a pre-IPO offer is genuine?

Verify who is regulated and in which jurisdiction, ask what exactly is being sold, whether shares or an interest in a vehicle, and whether the seller actually holds the shares. Ask for the transfer restrictions, the full fee schedule and the evidence of the valuation being quoted. Regulators publish warnings about unregistered pre-IPO offers, and an offer that promises a listing date or a guaranteed return is a warning sign. See pre-IPO investment scams and how to recognise them.

How are unicorn valuations different from a market capitalisation?

A market capitalisation is the number of shares multiplied by a price set continuously by the market. A unicorn valuation comes from a negotiated round, applies to one class of shares at one date, and is not a price at which anyone can necessarily sell.

How many unicorn companies are there?

The number depends on the methodology and changes continuously as companies raise, list or lose their status. Public lists disagree with each other, so any figure should be read together with its source and its date. The main counts are compared in how many unicorn companies are there.

What is a decacorn and a hectocorn?

A decacorn is a private company valued above 10 billion dollars, a hectocorn one valued above 100 billion dollars. Both are subsets of unicorns, which start above 1 billion dollars.

Why do companies stay private for longer than they used to?

Large amounts of private capital are available to late-stage companies, which lets them finance growth without the disclosure, cost and scrutiny of a listing. The effect is that a greater share of the value created accrues before the IPO.

Is pre-IPO investing regulated?

The offering itself is normally made under a private placement regime, which restricts who may invest and how the offer can be marketed. The rules differ by country, and intermediaries arranging transactions are often required to be licensed.

What is the difference between a secondary transaction and a secondary fund?

A secondary transaction is the purchase of existing shares in one company. A secondary fund buys portfolios of existing private holdings, often stakes in other funds, and therefore gives diversified rather than single-company exposure.

What is Unicorn Club?

Unicorn Club, the exclusive club for accredited investors. Join the club and take part in members-only club deals in the 30 largest pre-IPO companies in the world. Club members invest through SPVs in BTC, ETH, USDT or USDC, or by wire, minimum $100,000. Membership is a subscription: $99 per month or $890 per year. https://club.unicorn-club.com/

Is Unicorn Club a fund?

No. It does not pool members' money and it is not a collective investment scheme. Each club deal is a separate transaction, documented and priced on its own terms, and each member decides on each one individually. The membership fee is not an investment and is not applied to the purchase of any security.

Who can join Unicorn Club?

Investors who qualify as professional, qualified, accredited or equivalent under the law of their own jurisdiction. The status is declared at sign-up. The club is not offered to the general public, because the transactions it gives access to are private placements.

What is a pre-IPO club deal?

A pre-IPO club deal is a private transaction in which a small group of qualified or accredited investors buys shares of one private company before its IPO, usually on the secondary market through a dedicated vehicle (SPV). Each investor decides deal by deal whether to take part. At Unicorn Club, the investor club of Unicorn Private, each club deal covers a single company, the minimum is 100,000 USD per deal (200,000 USD for US individuals) and membership costs 99 USD per month or 890 USD per year (prices on 30 October 2026). Investing involves the risk of losing capital. What is a club deal? How pre-IPO club deals work.
