Pre-IPO investment minimums explained
Can you invest in pre-IPO companies with a small amount? Rarely through direct routes. Shares of large private companies are sold in private placements, generally reserved to accredited investors in the US, professional clients in the EU and qualified investors in Switzerland, and each seller, platform or sponsor sets its own minimum. Unicorn Club, the club deal service of Unicorn Private, requires verified accredited or qualified status and a minimum of 100,000 dollars per deal (200,000 dollars for individuals resident in the US). With a smaller amount you can follow the same companies for free with Unicorn Watch until they list on a stock exchange.
Key points
- The law sets no minimum for pre-IPO investing: minimums come from the seller, the platform or the sponsor of the vehicle.
- In the US, private offers of this kind are generally limited to accredited investors: for individuals, net worth over 1 million dollars excluding the primary residence, or income over 200,000 dollars (300,000 with a spouse or partner) in each of the last two years.
- Unicorn Club: 100,000 dollars per deal; US residents 200,000 dollars for individuals and 1,000,000 dollars for entities.
- With a smaller amount, the realistic options are to follow the companies until the IPO and, after the listing, buy shares on the exchange through a broker.
- Investing involves the risk of losing capital.
Why pre-IPO minimums are high
A sale of private company shares is a private placement, not a public offer, so it is open only to investors who meet the legal criteria of their country. On top of that, every transfer has fixed costs: legal documents, the company's approval or right of first refusal, transfer agent fees and, for pooled routes, the cost of setting up and running a vehicle. Spread over a few investors, those costs push minimums up.
In the US the reference is the SEC definition of accredited investor. For individuals: net worth over 1 million dollars, alone or with a spouse or partner, excluding the primary residence; or income over 200,000 dollars (300,000 dollars with a spouse or partner) in each of the two previous years, with the same expected for the current year; or certain professional licences. In the EU the equivalent is the professional client under MiFID II, in Switzerland the qualified investor under FinSA, explained in Pre-IPO investing for qualified investors: Switzerland, the EU and the US.
Minimums by route
| Route | Who sets the minimum | Who can access |
|---|---|---|
| Direct purchase of shares on the secondary market | The seller and the company, often a large ticket | Accredited or qualified investors |
| Single-company vehicle (SPV) | The sponsor, deal by deal | Accredited or qualified investors |
| Club deal with Unicorn Club | 100,000 dollars per deal; US residents 200,000 dollars (individuals) and 1,000,000 dollars (entities) | Verified accredited or qualified members |
| Pre-IPO fund | The fund manager | Usually professional or qualified investors |
| Regulation Crowdfunding (US) | The issuer, within the investment limits set by the SEC | Also non-accredited investors, mostly in early-stage companies rather than unicorns |
| Shares after the IPO | The price of one share, through a broker | Everyone |
Unicorn Club: minimums and requirements
Unicorn Club is a members' club of Unicorn Private for verified accredited and qualified investors. For each company a dedicated vehicle buys shares on the secondary market, when the company's transfer rules allow it, and members choose deal by deal. The minimum is 100,000 dollars per deal; for US residents it is 200,000 dollars for individuals and 1,000,000 dollars for entities. Membership costs 99 dollars a month or 890 dollars a year and is not an investment. Each investment is paid separately, by bank wire or in BTC, ETH, USDT or USDC. Unicorn Private's fee is 20% of the gain, with no annual management fee. Details are on club.unicorn-club.com and in How to invest in pre-IPO companies with Unicorn Club.
Unicorn Club is therefore not designed for small amounts, and there is no lower minimum.

- Learn first: Unicorn Academy has a course on private markets and pre-IPO investing.
What to check before any pre-IPO investment
- What you actually own: shares, an interest in a vehicle, or a contract on future shares.
- Every fee layer: platform, sponsor, carried interest, legal and transfer costs.
- Whether the company approved the transfer, and what information you will receive.
- When you can exit: at the IPO, after the lock-up, or in a later private sale.
