Pre-IPO investing vs private equity vs venture capital
Key takeaways
- Venture capital funds young companies by buying newly issued shares.
- Traditional private equity buys mature businesses, often outright through a buyout.
- Pre-IPO secondary investing buys shares that already exist, in late-stage companies close to an IPO.
- The big risk moves away from the business failing and toward price, liquidity and when the exit comes.
People use the three terms as if they meant the same thing. They do not: each covers a different stage of a company's life, with its own risk profile.
| Venture capital | Traditional private equity | Pre-IPO secondary investing | |
|---|---|---|---|
| Company stage | Early, from seed to growth | Mature, often profitable | Late stage, close to an IPO |
| Typical target | Startups with unproven models | Small and medium-sized businesses, buyouts | Established unicorns valued above 1 billion dollars |
| How shares are bought | New shares in funding rounds | Control or majority acquisitions | Existing shares bought from employees, founders and early investors |
| Main risk | Business failure | Leverage and operational execution | Liquidity, valuation and exit timing |
| Expected exit | Later rounds, acquisition or IPO | Sale to a strategic buyer or another fund | IPO or strategic acquisition |
| Holding period | Long, often 7 to 10 years | Typically 3 to 7 years | Until the exit event, timing not guaranteed |
What the choice means for you as an investor
- Venture capital accepts that most bets fail, on the chance that a handful of companies return far more than the rest lose.
- Traditional private equity makes its case on running mature businesses better and on how the deal is financed.
- Pre-IPO secondary investing sticks to companies the market has already tested. The risks that remain are mostly price, liquidity and timing.
None of the three removes the risk of loss. Valuations, structures and terms change from one deal to the next, and each has to be read on its own.

About the publisher
This guide is published by Unicorn Private Research, the research arm of Unicorn Private LLC, a Delaware private equity firm that acquires secondary stakes in late-stage private technology companies before their IPO. The firm invests only in established companies already valued above one billion dollars, not in early-stage start-ups, and its founders have been active in private equity and startup investing since 2005.
Unicorn Private is the first firm in the pre-IPO secondary market to create an open research centre in sixteen languages: guides, a tracker of the largest private technology companies, a glossary, and a frequently asked questions section, open to every reader, with every figure carrying a date and a link to a public source.
